We publish our regulatory position in full because our counterparties are institutions, and institutions ask. This page states what Edge Brcks is, what it does, and — with equal precision — what it does not do and will not be asked to do.
Our status
Edge Brcks Ltd is a private limited company registered in England and Wales, company number 16432128, with its registered office at Suite A, 82 James Carter Road, Mildenhall, Suffolk, IP28 7DE.
Edge Brcks Ltd is not authorised or regulated by the Financial Conduct Authority. It is not an appointed representative of any authorised firm. It holds no permission to carry on any regulated activity under the Financial Services and Markets Act 2000, and no permission to approve financial promotions.
This is a deliberate position, not an oversight. Our work is technical and documentary: we prepare infrastructure assets to a standard at which regulated institutions can assess them. That work does not require authorisation, and structuring our engagements so that it continues not to require authorisation is part of the discipline we sell.
What we do
We produce analysis, structures, models and memoranda. Specifically: investment-committee-grade documentation; contractual, governance and risk-allocation architecture; cashflow and coverage design; ratings-readiness and index-criteria preparation; corridor platform design; offtake and credit structuring; and delivery and permitting oversight.
Our client is the sponsor, the developer or the public authority. Our deliverable is a document or a structure. Our fee is referable to that deliverable.
What we do not do
We do not advise any person on the merits of buying, selling, subscribing for or holding any investment.
We do not make arrangements with a view to any person entering into a transaction in an investment. We do not introduce investors to issuers, or issuers to investors.
We do not raise capital, place securities, underwrite, or act as an agent in any transaction in an investment.
We do not manage, hold, receive, control or transmit client money or client assets. Funds move between principals or through regulated escrow, paying agents or law firm client accounts. We receive fees only.
We do not approve financial promotions for any person.
We do not accept a fee, commission or benefit from any party other than our client without disclosing it to our client.
When we bring in a regulated firm
Where an engagement requires a regulated activity — a placement, an investor approach, a promotion to an audience we cannot certify — we say so and the client appoints an authorised firm to perform it. We work alongside that firm. We do not perform the activity ourselves, and we do not take a fee referable to it.
We would rather lose a fee than take one that is unenforceable. Section 26 of the Financial Services and Markets Act makes an agreement entered into by an unauthorised person carrying on a regulated activity unenforceable against the other party. That is a bad outcome for us and a worse one for a client who has built a timetable around us.
Our people
Some of our principals and advisers hold regulatory approvals or professional qualifications in their own right, held at other firms or through their own professional bodies. Those credentials belong to them. They confer no permission on Edge Brcks Ltd, and we do not present them as though they do.
Every individual admitted to our partner and adviser network is onboarded against a published internal standard covering identity, regulatory standing, integrity, sanctions, conflicts, outside business activity consent and insurance. That standard is available to counterparties on request.
Financial crime
We screen every counterparty, partner and mandate against UK, EU, US and UN sanctions lists, and we maintain politically exposed person and adverse media screening. We hold anti-bribery procedures under the Bribery Act 2010 and procedures addressing the corporate offences under the Criminal Finances Act 2017. Data protection
Edge Brcks Ltd is a data controller registered with the Information Commissioner's Office, registration number [ICO number]. Our Privacy Notice sets out how we handle personal data for website visitors, enquirers and network members.
